Can anyone give me complete step-by-step instructions for downlaoding and installing Windows Vista?

Start here: http://www.microsoft.com/windowsvista/getready/preview.mspx and read the info and instructions. Then review the threads on this newsgroup that pertain to installing Vista. It has all been covered dozens of times.

If I were you, I wouldn't upgrade XP to Vista at this time. This is in the work in progress sloppier than usual stage and Redmond Vista is still trying to get its arms around and figure out, well, Vista. If you don't have a box to devote to this then do a dual boot and tons of burn and dual boot directions are on this group.

This may be of help: Make sure if you dual boot you always install the oldest operating system first. Do not install Vista and then try to install XP or you'll put yourself into errors that need bootsect and BCDedit repairing.

If you need step-by-step instructions even to download it, then I'd say wait for the RTM. Vista at this point is pretty much something for tinkering with on your own, and nobody's gonna want to hold you hand when you do have it installed and running.
This may sound condescending, but I'm just saying this to save you grief--a lot of grief. Read the posts here--there's a lot of frustrated people posting here who just should've known better.

Honestly, if you need step-by-step instructions, then this beta is not for you. It is intended for IT professionals that already know enough to get it installed.
If you insist, then DO NOT put it on your only machine. Only do it if you have a second, spare computer.

I personally advise you to order the DVD rather than downloading it. Microsoft's servers are totally slammed right now, so anyone who actually gets the download, and is able to install Vista using the burnt ISO is lucky.
Even on my 1.5mips connection, the server crapped out several times during the download, and as a result, I got a "bad" image, which would not allow me to install Vista.
Thank God I ordered the DVD before I attempted downloading the image. I only had to wait about a week from ordering to delivery in the mail.
Waiting is better, I assure you. It will save Microsoft that much more bandwidth, and ensure a good install.

Disclaimer: Do not install Vista on your "production" computer. Install it on a separate partition (AKA "Dual Boot") or install on a separate harddrive...
